PUBLIC OFFER

to enter into an agreement for paid information and consulting services: “Memory for Work”

Yerevan, Republic of Armenia · Version dated [publication date]

Nebesny Osobnyak LLC (Republic of Armenia, state registration number […], TIN (ՀՎՀՀ) […]), hereinafter the “Provider,” offers to enter into an agreement on the terms of this Public Offer with any individual aged 18 or older who has full legal capacity (hereinafter the “Customer”). This is a public offer within the meaning of the Civil Code of the Republic of Armenia.

1. Definitions

1.1. Service means the “Memory for Work” digital materials and features available at [zverium.com] and in the Telegram bot [@bot_name]: daily exercises, a review schedule, Tests, AI assistant responses, and reports.

1.2. Cohort means a group of Customers with the same start date. Cohort 1 starts on [November 16, 2026]. Dates for subsequent Cohorts are published on the website.

1.3. Main Period means 6 weeks (42 calendar days), starting on the Cohort start date.

1.4. Additional Period means 2 weeks (14 calendar days) immediately after the Main Period. The Customer may use this period at no extra charge: the price includes both periods.

1.5. Service Period means 8 weeks (56 calendar days), starting on the Cohort start date and comprising the Main Period and the Additional Period.

1.6. Access means the Customer’s personal right to access the Service using a personal link or key.

1.7. Session Language means Russian, Armenian, or English, as selected by the Customer when signing up.

1.8. Host means the fictional AI character “Timofey Ilyich” (a cartoon elephant), created with the help of artificial intelligence. The Host is not a person.

1.9. AI assistant means a program based on a language model that answers the Customer’s questions about the exercises. The AI assistant is not a person.

1.10. Test means an exercise used to measure performance; its result is shown to the Customer in a personal report.

1.11. Customer Content means texts, lists, numbers, and key points that the Customer enters into the Service.

1.12. Payment Link means a personal link to a secure payment page of the acquiring bank [bank name, Republic of Armenia].

2. Subject of the agreement

2.1. The Provider provides the Customer with information and consulting services by granting Access to the Service for the periods specified in section 4. The Customer pays for the services as set out in section 5.

2.2. The service includes (as detailed in Appendix 1): practical memory techniques for remembering names and faces, numbers and agreements, lists, and presentation key points, as well as practice with Customer Content; daily practice sessions of approximately 15 minutes, six days a week; a review schedule based on preset rules; before/after Tests and a follow-up Test four weeks after the end of the Service Period, with a personal report; AI assistant responses to questions about the exercises, up to [10] requests per day; the Host (who can be turned off using “no host” mode); and support with Access and use of the Service.

2.3. What the service is not. a) It is not an educational program: there is no final assessment, and no documents certifying education or qualifications, diplomas, or certificates are issued. Rewards and badges in the Service are game elements, not official documents. b) It is not a medical, psychological, or psychotherapy service. The Service does not diagnose or treat conditions and does not replace a doctor. The Tests are not intelligence tests or health assessments. c) The Provider does not guarantee any specific result (in terms of percentages, scores, days, job positions, or income).

3. Entering into the agreement (acceptance)

3.1. The Customer accepts this Public Offer by completing two actions: (a) checking the box labeled “I am 18 or older, have read the Public Offer, and accept its terms” on the order page or clicking the “I accept” button in the bot; and (b) paying the full price through the Payment Link.

3.2. The agreement is concluded when the acquiring bank confirms to the Provider that payment has been made through the Payment Link. The Provider keeps a log linking the version of the Public Offer, order number, payment, Customer contact details, and date and time (UTC).

3.3. By paying for the service, the Customer confirms that they are 18 or older, are purchasing the service for personal use, and have read the Public Offer. The terms of the Public Offer are the same for all Customers and are not changed at an individual Customer’s request. Any terms that place a Customer acting as a consumer in a less favorable position than that guaranteed by mandatory provisions of law do not apply.

3.4. Law of the country of residence. If the Customer lives outside Armenia and the law of their country of residence gives consumers greater rights than this Public Offer, the Customer retains those rights.

3.5. If an employer or another legal entity pays for the service, a separate agreement is required. Please contact support.

3.6. Payment only on the bank’s payment page. Neither the Provider nor the bot ever asks Customers to send bank card details in chat or by email, and neither accepts payments directly.

4. Service periods and delivery

4.1. Cohort 1: start — [November 16, 2026]; end of the Main Period — [December 27, 2026]; end of the Service Period (including the Additional Period) — [January 10, 2027]. The four-week follow-up Test is on [February 7, 2027]. Dates for subsequent Cohorts are as listed on the website on the payment date.

4.2. Sales for Cohort 1 open on [October 28, 2026]. Before the start date, the Customer receives messages about the start date and preparation through the contact details they provided. The service is considered to be provided starting on the start date.

4.3. Access is granted on the start date through a link sent by the Provider using the Customer’s contact details (Telegram or email). The Service works in a browser on a phone or computer; Telegram is not required.

4.4. The Customer chooses when to complete the sessions in their own time zone. Missing a session does not affect the Customer’s right to continue, and the Provider is not required to offer a make-up session. Weekly materials become available according to the Cohort calendar.

4.5. After the Service Period ends, the Customer retains access to the Service materials [for up to 12 months from the Cohort start date] and to the review practice tool for [3 months]. This is an extra benefit provided at no additional charge; it does not extend the Service Period or affect the refund calculation under clause 8.3.

4.6. The Provider may postpone the start date by no more than [14] days by notifying the Customer at least [3] days in advance. If the start is postponed for longer, the Customer may withdraw from the agreement and receive a full refund (clause 8.5).

4.7. The Provider makes reasonable efforts to keep the Service running without interruption. If the Service is unavailable due to the Provider’s fault for more than [24] consecutive hours, the Access period is extended by the duration of the unavailability. If access to Telegram is restricted, the Customer can continue the sessions through the website.

5. Price and payment

5.1. The service price is 59,000 (fifty-nine thousand) Armenian drams (AMD).

5.2. For the first twenty Customers of Cohort 1 (in the order of confirmed payments), the price is 49,000 (forty-nine thousand) Armenian drams (AMD). A discounted spot is reserved for the Customer when the Payment Link is issued and held for [72 hours]; the price is shown in the Payment Link and does not change after the link is issued. If payment is not made through the link within that time, the spot is released. The number of available spots shown on the website is for reference only.

5.3. Payments are made in Armenian drams (AMD). Amounts shown on the website in US dollars and euros (≈ $149 / ≈ €139 and ≈ $125 / ≈ €115) are for reference only. If the Customer’s card is denominated in another currency, the Customer’s bank converts the payment at its own exchange rate; the Provider has no control over that rate. [The Provider’s tax regime and VAT treatment are to be confirmed by an accountant.]

5.4. Payment procedure: the Customer submits a request on the website or in the bot; starting on [October 28, 2026], the Provider sends a Payment Link through the bot or by email; the Customer pays by Visa, Mastercard, or ArCa card on the acquiring bank’s payment page. The Provider does not receive card details.

5.5. Payment confirmation (an electronic receipt or another document issued in accordance with the laws of the Republic of Armenia) is sent using the contact details provided by the Customer at payment.

5.6. There are no automatic renewals, hidden charges, or subscriptions. The Customer is not charged the acquiring bank’s fees: they pay only the price shown in the Payment Link. The Customer’s bank may charge a currency conversion fee according to its fee schedule.

5.7. Discounts and promo codes apply only on terms announced in advance; the 49,000-dram price cannot be combined with other promotions.

6. Rights and obligations of the parties

6.1. The Provider must: grant Access on time; provide the full scope of services described in Appendix 1; respond to support requests within [2] business days; process personal data in accordance with the law and the Privacy Policy; and issue refunds in the cases set out in section 8.

6.2. The Provider may: update and improve the Service without reducing the stated scope of the service; change the sequence, wording, and presentation of exercises; suspend Access if the Customer breaches clause 6.3 or section 10, after first notifying the Customer using the contact details provided when ordering and allowing [3 days] to remedy the breach (or immediately if Access is shared with third parties or the security of other users is at risk).

6.3. The Customer must: provide accurate contact details; not share Access with third parties; not infringe third-party rights; and not enter into the Service (as Customer Content or in questions to the AI assistant) other people’s personal data (real names and photos of clients or colleagues, phone numbers), an employer’s trade secrets or confidential business information, health data, passwords, PIN codes, or bank card numbers. The Service provides fictional examples for exercises involving names and faces.

6.4. The Customer may stop participating in the sessions and withdraw from the agreement at any time (section 8).

7. Host and AI assistant

7.1. The Host, “Timofey Ilyich,” is a fictional AI character created with the help of AI. He is not a person, teacher, doctor, or psychologist. The Service explains this at the start of the sessions. The Host can be turned off in the settings.

7.2. The AI assistant’s responses are generated automatically and may contain errors or inaccuracies. They do not replace advice from a specialist (a doctor, lawyer, psychologist, or financial advisor). The Customer is responsible for independently verifying important information. Any response can be reported using the button or the command [/report].

7.3. To generate responses, the Customer’s texts are sent to the language model provider. Details are in the Privacy Policy.

8. Withdrawal from the agreement and refunds

8.1. The Customer may withdraw from the agreement at any time. To do so, they write to support at [email] or in the bot chat: “I withdraw from the agreement and request a refund.”

8.2. Before the Cohort start date, the Provider refunds the amount paid in full.

8.3. After the Cohort start date, the Provider issues a refund in proportion to the unused portion of the Service Period:

Refund amount = price paid × (D ÷ 56), where D is the number of full calendar days of the Service Period (56 days) remaining after the day the request is received (the day of receipt counts as used). The result is rounded to the nearest whole dram.

This formula is the parties’ agreed method for calculating the value of the portion of the service already provided. Examples are in Appendix 2.

8.4. If the request is received after the Service Period ends, the service is considered fully provided and no refund is issued, except where the service was not properly provided. Access to materials and the review practice tool under clause 4.5 is an extra benefit and does not affect the refund.

8.5. Special cases arising from the Provider’s decision or fault: a) if the Cohort start is postponed by more than [14] days, the Customer may withdraw and receive the amount paid in full; b) if the Provider stops providing the service or shuts down the Service, it gives Customers at least 60 days’ notice, refunds the portion of the service not provided using the formula in clause 8.3, and compensates for losses where required by law; the Customer is given an export of their Test results and Customer Content; c) if the Service is unavailable due to the Provider’s fault, the Access period is extended by the duration of the unavailability (clause 4.7); if the total downtime exceeds [7] days, the Customer may withdraw and receive a refund for the portion of the service not provided using the formula in clause 8.3.

8.6. No other deductions are made from the refund. The acquiring bank’s fee is not deducted. Before the start date, a full refund is provided regardless of any expenses incurred.

8.7. The refund is made in drams to the same card used for payment within [10] days of receipt of the request. The time it takes for the refund to be credited and the exchange rate for conversion back to the card’s currency depend on the Customer’s bank.

8.8. The Customer retains all rights under the law (including claims relating to deficiencies in the service), regardless of the provisions of this section.

9. Liability

9.1. The parties are liable to each other as provided by law.

9.2. The Provider is not liable for decisions and actions the Customer takes independently on the basis of Service materials; for the Customer not achieving an expected result (results are not guaranteed — clause 2.3); or for disruptions to communication networks and the messaging platform beyond the Provider’s control. The Provider remains liable under the law for the quality of the service, for AI assistant responses within the Service’s stated purpose, and for the actions of persons engaged by the Provider.

9.3. This section does not limit the Customer’s statutory consumer rights.

9.4. The parties are released from liability for failure to perform their obligations due to force majeure. The time for performance is extended for the duration of those circumstances; if they continue for more than [30] days, either party may terminate the agreement, and the Provider refunds the unused portion of the service.

10. Intellectual property

10.1. The Service materials (texts, exercises, graphics, characters, the names “Zverium” and “Memory for Work,” and program code) belong to the Provider or are used by it on a lawful basis. [For the materials on memory techniques supplied by their owner, identify the rights holder and the legal basis for use.]

10.2. For the Access period, the Customer is granted a non-exclusive, non-transferable license to use the materials within the Service for personal, noncommercial purposes.

10.3. The Customer must not copy, record, or publish the materials; sell or share Access, including with colleagues; use the materials to train neural networks or create competing products; or bypass technical restrictions.

10.4. Customer Content remains the Customer’s. The Customer permits the Provider to store it, display it only to the Customer, and send it to the AI provider to the extent necessary to provide the service.

10.5. The Provider may publish anonymized aggregate Cohort results (number of participants, completion rate, average changes in Test results) without making it possible to identify any individual.

11. Personal data and messages

11.1. The Provider processes personal data in accordance with the Privacy Policy and the Law of the Republic of Armenia “On Protection of Personal Data.” The Customer gives consent to processing through a separate action (checking a box); consent is not part of this Public Offer.

11.2. Service messages (the start date, links to sessions, session reminders, and payment notifications) are part of the service. Promotional and informational messages about other products are sent only with the Customer’s separate consent; the Customer may unsubscribe at any time using the command [/stop].

12. Requests and disputes

12.1. Support: [email], Telegram [@], support hours — [Monday–Friday, 10 a.m.–7 p.m. Yerevan time, UTC+4]. The head of the Provider reviews disputed matters within [48 hours] of receiving a request.

12.2. The Customer submits a formal complaint to support in writing. The Provider responds within [10] days of receipt.

12.3. The law of the Republic of Armenia applies to the agreement, subject to clause 3.4. Disputes that cannot be resolved through negotiations are heard by a court of the Republic of Armenia under the applicable rules of jurisdiction; a Customer acting as a consumer may bring a claim before a court designated by the law of their country if that law grants them this right.

13. Changes to the Public Offer

13.1. The Provider may change the Public Offer by publishing a new version on the website. The new version applies to agreements concluded after its publication. An agreement already concluded remains subject to the version in effect on the acceptance date; changes apply to it only with the Customer’s consent.

13.2. The Public Offer is effective from [publication date] until withdrawn by the Provider. Withdrawal does not affect agreements already concluded.
